Terms of Service

These Terms of Service (”Terms”) govern your access to and use of the Safeport Medical Delivery website (the “Site”) and our medical courier services (the “Services”). By using our Site or Services, you agree to be bound by these Terms. If you do not agree, please do not use our Site or Services.

Who These Terms Apply To

These Terms apply to:

  • Visitors who browse our website

  • Clients who request quotes, schedule pickups, or enter into service agreements with Safeport

  • Recipients who receive deliveries from Safeport

If you are using our Services on behalf of an organization (such as a hospital, lab, pharmacy, or clinic), you represent and warrant that you have the authority to bind that organization to these Terms.

Our Medical Courier Services

Safeport provides medical courier and healthcare logistics services, including:

  • Medical equipment and durable medical equipment (DME) delivery

  • Laboratory specimen transport

  • Pharmacy and prescription delivery

  • STAT and same-day medical courier dispatch

  • Hospital and clinic logistics

All Services are subject to availability and our acceptance of your service request. We reserve the right to refuse service to any person or organization for any lawful reason.

Client Responsibilities

When you use our Services, you agree to:

  • Provide accurate information: You must provide correct pickup and delivery addresses, contact information, and any special handling instructions.

  • Properly prepare shipments: You are responsible for packaging specimens, medications, and equipment according to applicable laws and industry standards. This includes triple packaging for Category B biological substances and proper temperature management.

  • Comply with laws: You warrant that the contents of any shipment comply with all applicable federal, state, and local laws, including HIPAA, OSHA, and DOT regulations.

  • Disclose hazards: You must inform us of any hazardous materials, infectious substances, or special handling requirements before we accept the shipment.

  • Pay for Services: You agree to pay the quoted or agreed-upon fees for Services rendered, plus any applicable taxes or fees.

Our Responsibilities

Safeport agrees to:

  • Provide Services with reasonable care and skill

  • Maintain HIPAA compliance and sign Business Associate Agreements as required

  • Employ trained drivers who meet OSHA and DOT requirements

  • Carry appropriate insurance coverage (general liability, auto liability, cargo, and workers’ compensation)

  • Respond to STAT and urgent requests in accordance with our published response times

  • Provide tracking and proof of delivery upon request

Fees and Payment

Service fees are quoted based on the information you provide (distance, urgency, weight, special handling, etc.). Quotes are estimates; final fees may vary based on actual service conditions.

Payment terms will be specified in your service agreement or invoice. Unless otherwise agreed, payment is due upon receipt of invoice. Late payments may accrue interest at the rate of 1.5% per month or the maximum permitted by law.

We accept major credit cards, ACH transfers, and checks. A $35 fee applies to returned checks.

Cancellations and Refunds

  • Same-day and STAT requests: Cancellations made within 30 minutes of booking may be eligible for a full refund. Cancellations after a driver has been dispatched are subject to a dispatch fee.

  • Scheduled recurring routes: Cancellations require 24 hours’ notice. Missed or late cancellations may be billed at the regular service rate.

  • Refunds: Refunds are issued at Safeport’s discretion. If we fail to perform a service due to our error, we will refund the applicable fee or credit it toward a future service.

Liability Limitations

To the fullest extent permitted by law:

  • Direct damages: Safeport’s total liability for any claim arising out of or relating to our Services is limited to the fees you paid for the specific shipment or service giving rise to the claim.

  • Consequential damages: Safeport is not liable for any indirect, incidental, special, or consequential damages, including lost profits, lost revenue, delayed diagnoses, compromised test results, or patient harm, even if we were advised of the possibility of such damages.

  • Cargo value: Unless you purchase additional cargo insurance, we are not liable for the value of the contents of any shipment. Our liability is limited to the cost of the transport service itself.

These limitations apply regardless of the legal theory under which a claim is asserted (contract, tort, negligence, or otherwise).

Indemnification

You agree to indemnify, defend, and hold harmless Safeport, its owners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms

  • Your improper packaging or handling of shipments

  • Your violation of any applicable law or regulation

  • Your negligence or willful misconduct

No Unlawful or Prohibited Use

You may not use our Site or Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our operations. Prohibited activities include:

  • Shipping illegal substances or contraband

  • Using our Services to harass, threaten, or harm others

  • Interfering with our dispatch or tracking systems

  • Attempting to bypass our security measures

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services ceases immediately. Any outstanding fees remain due and payable.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration in Columbus, Ohio, in accordance with the rules of the American Arbitration Association.

You waive the right to participate in class actions or class-wide arbitration.

Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be posted on our website with an updated Effective Date. Your continued use of our Site or Services after the changes become effective constitutes your acceptance of the revised Terms.

Entire Agreement

These Terms, together with any signed service agreement, Business Associate Agreement, and quote forms, constitute the entire agreement between you and Safeport regarding our Services.
